Terms of Service

These Terms of Service govern your access to and use of the brandybee.ai website and the BrandyBee platform.

By creating an account, accessing the Services, or continuing to use BrandyBee, you agree to be bound by these Terms.

Please read these Terms carefully before using the Services.

1. Definitions

  • Account: the account you create to use BrandyBee.
  • Authorized User: any person you allow to use the Services through your account.
  • Input: the URLs, brand materials, product information, prompts, and other content you submit.
  • Output: the text, images, analysis, recommendations, or other materials generated by the Services.
  • Content: Input and Output together.

2. Eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into a binding agreement.
  • You must use the Services only on your own behalf or with authority to bind the organization you represent.
  • You must not have been previously suspended or removed from the Services.

3. Accounts and security

  • You must provide accurate and current registration information.
  • You are responsible for safeguarding your login credentials and all activity under your account.
  • If you suspect unauthorized access, you must contact us promptly at support@brandybee.ai.

4. Access to the Services

Subject to these Terms and any applicable subscription, BrandyBee grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

We may update, improve, suspend, or discontinue parts of the Services from time to time.

5. Acceptable use

You must use BrandyBee in compliance with applicable law and in a manner consistent with these Terms.

You may not

  • Use the Services to create unlawful, infringing, deceptive, abusive, or harmful content.
  • Attempt to reverse engineer, disrupt, or gain unauthorized access to the Services.
  • Upload malware, harmful code, or material that could compromise security or reliability.
  • Use the Services to build or train a competing product using BrandyBee materials or functionality.
  • Submit URLs, content, or data you are not authorized to use.
  • Publish content that violates intellectual property rights, privacy rights, publicity rights, or platform rules.
  • Publish hate speech, harassment, threats, sexually explicit content, content exploiting minors, self-harm content, deceptive commercial content, spam, or coordinated inauthentic behavior.
  • Use automation, batch scheduling, or repeated publishing in a way designed to evade Meta rate limits, moderation systems, or other platform safety mechanisms.
  • Publish branded or sponsored content without required disclosures, labels, or platform tools.
  • Access or attempt to manage social media accounts, Pages, ad accounts, or data that you are not authorized to manage.

6. Your content and usage rights

You retain your rights in the Input you provide to BrandyBee.

You grant us a limited right to process, store, analyze, and use that Input only to provide the Services, operate the product, and produce anonymized and aggregated statistics.

If you connect Facebook, Instagram, Meta ad accounts, or other third-party platforms, you grant BrandyBee a limited, non-exclusive, worldwide, royalty-free license to host, store, format, transmit, and publish content you authorize us to publish on your behalf, solely to provide the Services.

Subject to these Terms, BrandyBee does not claim ownership over Output created specifically for you. You remain responsible for reviewing and approving any output before use.

7. AI and generated outputs

  • Outputs are generated with the support of artificial intelligence and are provided as-is.
  • Outputs may be incomplete, inaccurate, outdated, or unsuitable for a particular use case.
  • AI-generated Output may not be unique, and similar or identical output may be generated for other users.
  • You are solely responsible for checking Output for accuracy, legality, originality, suitability, and marketplace compliance before publishing or relying on it.
  • BrandyBee does not publish AI-generated content to your connected social media accounts without your explicit confirmation.
  • If content is sponsored, branded, endorsed, or involves a material connection, you are responsible for using required disclosures and platform tools, including Meta branded content tools where applicable.

8. Publicly available information

When you submit a store URL or related brand information, BrandyBee may analyze publicly available content associated with that input.

  • We do not access password-protected or private areas.
  • You are responsible for ensuring that you have the authority to submit the URLs and brand information you provide.
  • We do not guarantee the completeness or accuracy of information obtained from public sources.

9. Intellectual property

BrandyBee and all related software, interfaces, designs, logos, documentation, and service materials are owned by or licensed to BrandyBee and protected by applicable intellectual property laws.

You may not use BrandyBee trademarks or brand elements without prior written permission.

10. Fees and billing

Certain parts of the Services may require a paid subscription.

If you subscribe to a paid plan, you authorize us or our payment processor to charge the applicable fees.

Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle until canceled.

To enable these automatic renewals, your payment method is securely stored by our payment processor (Stripe) and charged at each renewal until you cancel. We do not store your full card number on our own servers.

You can cancel a paid subscription at any time through the available account or billing tools. Cancellation stops future renewal charges.

We may change subscription prices. If we do, we will give you at least 30 days’ advance notice by email to the address on your account. A new price never applies to a billing period you have already paid for: it takes effect at your first renewal that falls on or after the date stated in that notice.

You can cancel at any time before that renewal and you will not be charged the new price. If you do not cancel and your subscription renews on or after the effective date, the new price applies from that renewal onward.

Refunds are governed by our Refund Policy, which gives you a 14-day window to cancel and receive a refund of the unused portion of your plan. Please see the Refund Policy for full details.

11. Third-party services and integrations

BrandyBee may connect with third-party services such as Meta, Shopify, WooCommerce, Google, or authentication providers. Your use of those services is governed by their own terms and policies.

Meta notice

When you connect a Facebook Page, Instagram account, or Meta ad account to BrandyBee, you agree to use BrandyBee in compliance with Meta Platform Terms, Meta Developer Policies, Meta Community Standards, Meta Advertising Standards, Meta Branded Content Policies, and Instagram Community Guidelines.

You may disconnect any Meta account at any time in BrandyBee under Settings → Integrations, or by removing BrandyBee from your Facebook account under Settings → Apps and Websites. When you disconnect, BrandyBee will stop accessing that account and will delete related access tokens and Meta-provided data within 30 days, as described in our Privacy Policy.

BrandyBee depends on Meta APIs and platform availability. We cannot guarantee that Meta APIs, permissions, rate limits, content review decisions, analytics, or publishing functionality will remain available or behave consistently.

12. Confidentiality

Each party will protect the other party’s confidential information using reasonable care and will disclose it only where necessary to perform obligations under these Terms or where required by law.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided on an as-is and as-available basis, without warranties of any kind.

14. Limitation of liability

To the maximum extent permitted by law, BrandyBee will not be liable for indirect, incidental, consequential, exemplary, or punitive damages, including loss of profits, data, or business opportunity.

Our total aggregate liability for claims arising out of or related to the Services will not exceed the greater of the amount you paid to us in the six months preceding the claim or 100 USD.

15. Indemnification

You agree to indemnify and hold BrandyBee harmless from claims, losses, liabilities, costs, and expenses arising from your use of the Services, your breach of these Terms, your Input, your use of Output, content you publish through BrandyBee, or your violation of Meta Platform Terms, Developer Policies, Community Standards, Advertising Standards, Branded Content Policies, or other third-party platform rules.

16. Suspension and termination

  • You may stop using the Services and close your account at any time.
  • We may suspend or terminate access where necessary for security, legal compliance, or material breach of these Terms.
  • After termination, your right to access the Services ends immediately, and we may delete or anonymize data in accordance with our policies and legal obligations.

17. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Before initiating formal legal proceedings, the parties agree to first attempt to resolve any dispute in good faith through direct communication.

If no resolution is reached, the parties submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waive any objection to venue in those courts.

Nothing in this section deprives you, as a consumer, of the protection of the mandatory consumer-protection laws of your country of residence. If you reside in the European Union, the United Kingdom, or Türkiye, you retain the rights granted to you under the mandatory laws of your jurisdiction and may bring proceedings in your local courts where those laws so require.

18. General provisions

  • These Terms, together with our Privacy Policy, form the entire agreement regarding the Services.
  • If any provision is unenforceable, the remaining provisions remain in effect.
  • You may not assign these Terms without our prior written consent. We may assign them as part of a corporate transaction or operational restructuring.

19. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will update the effective date and provide notice where appropriate.
